Effective 25 October 2026 · Last updated 25 October 2026
These terms apply to anyone who uses Morpheus, the software and data platform operated by TheMorpheusCompany, Inc., a Delaware corporation ("Morpheus", "we", "us", "our"). They cover our website at themorpheusco.com and the Morpheus application, including each customer's own sign-in address.
Morpheus is provided to businesses ("customers") under a written order or agreement with each customer (the "customer agreement"). People use Morpheus because a customer gave them access ("users"). In these terms, "you" means the user and, where the context is about the customer's account, the customer. If these terms and a customer agreement differ, the customer agreement governs.
By using Morpheus you agree to these terms and to our Privacy Policy. If you are accepting them for a company, you confirm you have authority to bind it.
You may use Morpheus only if a customer has given you access, only for that customer's business, and only within the role the customer has set for you. You must be at least 18.
Your sign-in is personal. Do not share your account, password, passkey or device sign-in, and keep them secure. Tell your company's administrator, or us, straight away if you think someone else has used your account. The customer is responsible for the people it gives access to and for what they do in its account, and for removing access when someone leaves.
You agree not to, and not to help anyone else to:
If your company records or monitors calls or messages in connection with Morpheus, your company is responsible for giving any notices and getting any consents the law requires.
Morpheus describes retail businesses so distributors can plan their work. It is not a consumer report and must not be used as one. You may not use Morpheus or any information from it:
Store and owner information comes from public records and third-party sources. You are responsible for confirming important facts before relying on them, and for complying with any law that applies when you contact a business.
It belongs to the customer. Information a customer and its users record in Morpheus ("customer data") belongs to the customer. The customer is responsible for having the rights to provide it and for its accuracy.
Our permission to use it. The customer gives us a limited, non-exclusive permission to host, copy, process and display customer data only as needed to provide, secure and support Morpheus for the customer, to prevent misuse, and as the law requires.
Aggregated information. We may create aggregated or de-identified information from use of Morpheus, such as service performance and usage measures, that does not identify the customer, its users or any individual, and use it to operate and improve Morpheus. We will not disclose aggregated information in a way that identifies a customer or allows a customer to be inferred.
No model training. We do not use customer data to train artificial intelligence models, and we do not allow our service providers to do so.
Export and deletion. The customer can export its data while its agreement is in place, and for 30 days after it ends. After that, we delete customer data as described in our Privacy Policy.
Morpheus, including its software, design, maps, data compilations, scores, estimates and content, and all related intellectual property, is owned by Morpheus or its licensors. Subject to these terms and the customer agreement, we give you a limited, non-exclusive, non-transferable, revocable right to use Morpheus for the customer's internal business purposes while the customer's agreement is in place. We keep all rights not expressly granted. The Morpheus name and logo are our trademarks; customer names and logos shown in Morpheus belong to those customers.
Morpheus uses services from other companies, which are governed by their own terms:
We are not responsible for third-party services, and their availability may change. Where a customer turns on an integration with another service, the customer chooses to send information to it.
Some features produce results automatically, including store scores, estimates, recommendations, routes, and answers from Deki, the voice assistant. These results can be incomplete or wrong. Use them as aids to your own judgment, check them before acting on them, and do not rely on them for any decision about an individual. You must not use Deki to create unlawful, harmful or misleading content.
If you send us ideas, suggestions or feedback about Morpheus, you allow us to use them freely, without obligation to you. This does not give us any rights in your customer data.
We may offer free trials, demonstrations, or features labelled as beta, preview or early access. They are provided "as is", may change or end at any time, may be less reliable than the rest of Morpheus, and are not covered by any service level. To the extent the law allows, our total liability arising from a free trial or an early feature is limited to US$100.
Fees, billing and payment terms are set out in the customer agreement. Users do not pay us directly.
Each side may receive the other's non-public business information ("confidential information"). Morpheus's confidential information includes non-public parts of the service, its data compilations, scores and pricing; the customer's includes its customer data. Each side will use the other's confidential information only for the purposes of the relationship, protect it with at least reasonable care, and share it only with people who need it and are bound to protect it. This does not apply to information that is public through no fault of the receiving side, was already known to it, is independently developed, or is received lawfully from someone else. Either side may disclose confidential information where the law requires, after giving notice where allowed.
We work to keep Morpheus available, accurate and secure, but we do not promise that it will be uninterrupted, error free, or that every record is complete or current. We may change, add or remove features. Where a change materially reduces what a customer receives, we will tell the customer as its agreement requires.
A customer can remove a user's access at any time. We may suspend access, with notice where practical, if we reasonably believe it breaks these terms, puts the service, our customers or others at risk, or is required by law; we will restore it once the problem is resolved. Access ends when the customer's agreement ends. Sections that by their nature should continue, including sections 3, 4, 5, 8, 11 and 14 to 20, continue after access ends.
Except as expressly stated in the customer agreement, and to the fullest extent the law allows, Morpheus and all information in it are provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and accuracy of data. Some places do not allow certain warranties to be excluded, so some of this may not apply to you.
To the fullest extent the law allows:
These limits do not apply to a customer's obligation to pay fees, to a breach of section 2 or 3, to a party's indemnification obligations, or to liability that the law does not allow to be limited, such as for fraud or wilful misconduct.
By the customer. The customer will defend us and hold us harmless against third-party claims, and pay the resulting costs, damages and reasonable legal fees, arising from its customer data, or from its or its users' use of Morpheus in breach of these terms or the law.
By us. We will defend the customer against third-party claims that Morpheus, as we provide it, infringes that third party's intellectual property rights, and pay the resulting costs, damages and reasonable legal fees. This does not apply to claims caused by customer data, by combining Morpheus with something we did not provide, by changes we did not make, or by use in breach of these terms. If such a claim arises, we may modify Morpheus so it no longer infringes, get the right for the customer to keep using it, or end the affected part and refund prepaid fees for it.
The side asking for defence must tell the other promptly, let it control the defence and settlement (no settlement may admit fault by the other side without its consent), and give reasonable help.
If you believe material in Morpheus infringes your copyright, send a notice to [email protected] (subject "Copyright notice") with: your contact details; the work you believe is infringed; where the material is in Morpheus; a statement that you believe in good faith the use is not authorised; a statement, under penalty of perjury, that your notice is accurate and you are the owner or authorised to act for the owner; and your physical or electronic signature. We may remove material and, in appropriate cases, end the access of repeat infringers.
You may not use or access Morpheus in violation of US export control or sanctions laws, including from a country or region subject to comprehensive US sanctions, or if you are on, or owned by someone on, a US government restricted-party list.
These terms, and any dispute arising out of or relating to them or to Morpheus, are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. The state and federal courts located in the State of Delaware have exclusive jurisdiction, and each side agrees to their jurisdiction and venue. Either side may seek urgent injunctive relief in any court to protect its intellectual property or confidential information.
Before starting a lawsuit, each side will first try to resolve the dispute by writing to the other and talking in good faith for at least 30 days. Any claim must be brought within one year after it arises, or it is permanently barred, to the extent the law allows.
We may update these terms. We will post the new version here with a new date and tell customers about material changes at least 30 days before they take effect, except where a change is required sooner by law. Continuing to use Morpheus after a change takes effect means you accept the updated terms.
